Terms of Service
These Terms govern access to the hosted OpinForge platform operated by Back Alley Development.

Draft for counsel review. Enterprise customers are also governed by executed Master Services Agreements where those terms differ.
1. Acceptance
By creating an account, signing in, or using OpinForge (the "Service"), you agree to these Terms of Service ("Terms") on behalf of yourself and the organization you represent. If you do not agree, do not use the Service.
If your organization has a signed Master Services Agreement (MSA) or Statement of Work with us, that agreement controls where it conflicts with these Terms.
2. The Service
OpinForge is a hosted software platform for designing surveys, managing contact lists, fielding studies, analyzing responses, and related research workflows.
We may update features, limits, and availability. We will use reasonable efforts to avoid material degradation of paid services during an active subscription term.
3. Accounts & organizations
You are responsible for accurate registration information, safeguarding credentials, and all activity under your account.
Workspace administrators control team access, study content, and exports for their organization. You must only upload contact data and field surveys when you have a lawful basis to do so.
4. Customer content & data
You retain ownership of surveys, contact lists, responses, and other content you upload or create in the Service ("Customer Data").
You grant Back Alley Development a limited license to host, process, back up, and display Customer Data solely to provide and improve the Service, comply with law, and support security.
You are responsible for notices, consents, and methodology disclosures shown to survey respondents.
5. Platform intellectual property
The Service, including all software, user interface, documentation, templates, logic engines, workflows, and derivative improvements, is owned by Back Alley Development and protected by copyright, trade secret, and other laws.
We grant you a non-exclusive, non-transferable, revocable license to use the hosted Service during your subscription or pilot term. No source code, self-hosting rights, or redistribution rights are granted unless expressly agreed in writing.
- You may not reverse engineer, decompile, scrape, or copy the Service to build a competing product.
- You may not remove proprietary notices or attempt to access systems or data outside your authorized workspace.
- Feedback you provide may be used by us without restriction or compensation unless a separate agreement says otherwise.
6. Acceptable use
You agree not to misuse the Service. Prohibited uses include:
- Uploading malware, attempting unauthorized access, or interfering with platform operation.
- Harassing respondents, sending unlawful spam, or fielding surveys without required disclosures.
- Processing special-category personal data without appropriate legal basis and safeguards.
- Reselling platform access or sublicensing the Service except as we authorize in writing.
7. Privacy
Our Privacy Policy describes how we collect and process account, usage, and respondent-related information.
Where we process personal data on your behalf, a Data Processing Agreement (DPA) may apply in addition to these Terms.
8. Fees & pilots
Paid plans, pilots, and custom programs are governed by order forms or Statements of Work. Fees are non-refundable except where required by law or expressly stated in your agreement.
We may suspend access for non-payment after reasonable notice.
9. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, BACK ALLEY DEVELOPMENT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not guarantee uninterrupted operation, error-free logic compilation, or statistical representativeness of any sample you field.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BACK ALLEY DEVELOPMENT WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS OR DATA, ARISING FROM THE SERVICE.
Our aggregate liability for claims arising from the Service will not exceed the fees you paid us for the Service in the twelve (12) months before the event giving rise to the claim, unless a signed MSA states otherwise.
11. Termination
You may stop using the Service at any time. We may suspend or terminate access for breach, security risk, or non-payment.
Upon termination, your license ends. We will make reasonable export options available for Customer Data for a limited period unless law or your agreement requires otherwise.
12. Governing law & contact
These Terms are governed by the laws of [State — confirm with counsel], without regard to conflict-of-law rules, except where mandatory consumer protections apply.
